ReUseItAll User Agreement

Welcome to ReUseItAll. These terms and conditions (the “User Agreement”) apply to the services available from the http://www.reuseitall.com website and sub-domains of that website (together, the "Site"). In this User Agreement, all ReUseItAll contracting parties are known as “ReUseItAll”, “we”, “us” or “our”.

Your use of the services available from the Site signifies your acceptance of this User Agreement, and you will be required to confirm this when creating a ReUseItAll user account. The User Agreement constitutes a legally binding agreement between you and ReUseItAll.

This User Agreement is valid from 16 August 2007 and is effective upon acceptance for new users.

Using ReUseItAll

You may not use the Site if you are under the age of 16, unless you have the permission of your parent or legal gardian (in which case the responsibilty for your activities on the Site will fall to that parent or legal gardian), or if your ReUseItAll membership has been suspended.

All items offered on the Site must be offered for free. No buying or selling is permitted. Users may make a charge for posting an item when it cannot be collected, up to the cost price of that postage, as agreed between the two parties. Such transactions are not part of the ReUseItAll service and we hold no responsibility for them.

While using the Site, you will not:

• charge a fee for any item you offer on the Site;
• offer items in inappropriate categories on the Site;
• upload any false, inaccurate, misleading or defamatory content (including personal information);
• breach any laws, offer any counterfeit items or otherwise infringe the copyright, trade mark or other rights of third parties;
• interfere with other users' items;
• transfer your ReUseItAll account and UserName to another party;
• distribute or post spam, chain letters, or pyramid schemes;
• distribute viruses or any other technologies that may harm ReUseItAll, or the interests or property of ReUseItAll users;
• copy, modify, or distribute ReUseItAll's copyrighted works or trade marks, or other content from the Site, without our express consent; or
• harvest or otherwise collect information about users, including email addresses, without their express consent.

Abusing ReUseItAll

In order to keep the Site working properly and safely, please report any problems, offensive content, and policy breaches to us.

We may issue warnings to you, suspend, or close your account (including without limitation, removing offered items and other content), and warn other ReUseItAll users not to transact with you, if:

• we think that you are harassing other users or ReUseItAll staff, or exposing us or another ReUseItAll user to financial loss or legal liabilities;
• we think that you acting in breach of this User Agreement or our policies; or
• we are unable to verify any information you provide to us;

We also reserve the right to close your account if your email address cannot be verified.

You agree not to hold ReUseItAll responsible for any loss you may incur as a result of ReUseItAll taking any of the actions described above.

Spam

We do not tolerate spam (unsolicited commercial communications). You can specify the communications that you wish to receive from us, via the “My preferences” page under My Account. You may not add other ReUseItAll users, even a user who has contacted you regarding an item or received and item from you, to your mailing list (e-mail or physical mail) without their consent.

You may not use our messaging system to send spam or otherwise send content to other users, that would breach this User Agreement.

You agree to use other users' personal information that you obtain through the Site, for perposes related only to the giving and receiving of items offered on the Site, or other purposes that a user expressly agrees to.

To report spam from other ReUseItAll users, please contact ReUseItAll User Support.

Content licence

When you give us content, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright, trade marks, database rights and all other intellectual property rights you have in the content, in any media known now or in the future. In addition, you waive all moral rights you have in the content to the fullest extent permitted by law. (We need these rights to host and display your content.)

Liability

Nothing in this User Agreement shall limit or exclude our liability for fraudulent misrepresentation, for death or personal injury resulting from our negligence or for any other liability that cannot be limited or excluded by law.

You will not hold ReUseItAll responsible for other users' actions or inactions. The Site is a venue to allow anyone to offer and receive, free of charge, just about anything, at any time, from anywhere, at no cost to either party. At no point do we have possession or claim ownership, or give any promises or warranties (whether express or implied) about anything offered on the Site.

We do not review user's items and we are not party to the actual transactions between users. You will not hold ReUseItAll responsible for the actions or inactions of users involved in transactions or for ensuring that they actually complete transactions.

We have no control over, we do not guarantee, and you will not hold us responsible for:

• the condition, safety or legality of items offered;
• the truth or accuracy of item descriptions;
• the truth or accuracy of messages posted by users on the Site;
• the ability of users to offer items;
• the ability of users to receive or collect items; or
• whether a user will actually complete a transaction.

You accept sole responsibility for the legality of your items offered on the Site under laws applying to you.

Due to the difficulty of verifying user identitiy over the internet, we cannot and do not confirm, and are not responsible for ensuring, the accuracy or truthfulness of users' identities or the validity of the information which they provide to us or the Site.

We do not guarantee continuous or secure access to our services or the Site, and we do not give any promises or warranties (whether express or implied) about their availability.

We shall not be liable to you in contract, tort (including negligence) or otherwise for any business losses, such as loss of data, profits, revenue, business, opportunity, goodwill, reputation or business interruption or for any losses which are not reasonably foreseeable by us arising out of your use of our Site.

Release

If you have a dispute with one or more users, you release us from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Access and interference

You agree that you will not:

• take actions that imposes or may impose (in our sole discretion) an unreasonably large load on our servers;
• interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or
• bypass or attempt to bypass any measures we may use to prevent or restrict access to the Site or certain areas of the Site.

Privacy

We do not disclose your personal information to third parties for marketing purposes. We use your information only as described in the ReUseItAll Privacy Policy. We store and process your information on computers located in the United Kingdom that are protected by physical and technological security. Through your account you can access and modify the information you have provided us and specify what communications you receive from us. For a complete description of how we use and protect your personal information, see the ReUseItAll Privacy Policy. If you object to anything in this policy please do not use our services.

Compensation

You agree that you will only use the Site in accordance with this User Agreement. You will compensate us in full for any losses or costs (including reasonable legal fees) we incur arising from any breach by you of this User Agreement.

Notices

All notices to ReUseItAll shall be sent by registered mail to ReUseItAll, 2nd Floor Hallinans House, 22 Newport Road, Cardiff CF24 0DB, United Kingdom. We shall send notices to you by e-mail or by registered mail to the email address or primary postal address (as applicable) that you provided to ReUseItAll when you created your account. Notices sent by e-mail shall be deemed to have been received 24 hours after they are sent, unless we receive notice that the email address could not be delivered. Notices sent by registered mail shall be deemed to have been received 3 working days after they are sent.

Governing law

This User Agreement shall be governed by and construed in accordance with English law. You and ReUseItAll both agree to submit to the non-exclusive jurisdiction of the English Courts.

General

If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforceable.

Section headings are for reference purposes only and do not limit the scope or extent of the sections.

We may amend this User Agreement at any time either by e-mail, or by posting the amended terms on the Site.

The following Sections survive any termination of this User Agreement: Content Licence, Liability, Release, Compensation and Governing law.
